<p>The ones who get hurt the most in our country are the entrepreneurs that keep taking a lickin but keep on tickin, but how long until the prototypical American entrepreneur begins to lose hope and lose steam and one can only tread water for so long before you begin to sink. We have second and third generation wealth in congress and the senate, what do they know about starting a company with blood, sweat and tears only to lose it to a loophole the IRS uses to freeze their assets and steal their business away? FDIC backed banks are just as guilty for the crumbling of our economy. We live in a society whose hierarchy has determined that the best way to keep the population out of politics and blind to the reality of how economically damned we are is to keep us busy working 80 hours per week so that we can&#8217;t look up to discover that we&#8217;re no longer in the blessed land of our forefathers but we&#8217;ve fallen through Hades and into the fiery pit of hell.</p>
<p>Here is a revolutionary idea, actually it&#8217;s not so revolutionary at all, quit using elements distributed like free crack by the system. Sure it&#8217;s a highly addictive concept, we pay taxes and because we do so we should have access to certain rights, but most Americans are seeing this from the wrong perspective because they are like lambs to the slaughter as they are guided to the conclusions set forth by the establishment and the pawns used to target certain demographics. Here is my not so revolutionary idea, sure, use the system for what you can get out of it, you won&#8217;t get much but hey, it&#8217;s worth a shot, but instead of waiting on politicians and their backing lap monkeys to come up with strategies to issue loans, kick them to the curb, bring in an aggressive Tea Party player and while they are getting established be part of the transformation of the system by opening up your small and medium size company to public investment.</p>
<p>There is a huge misconception fueled by the governments mastery of overgeneralization that only gargantuan size companies can go public, this is far from the truth. If you have revenues of $500k or more, you can go public on the OTCBB, London and/or Frankfurt exchanges. Stay away from the Pink Sheets as this is not a platform for a company with longevity at the forefront of their mind.</p>
<p>Bring on a consultant who understands scalability and globalization and they will put together a process that will rock your world and fill up your bank account with the cash you need and easy cross collateralization of securities to keep you out of the &#8216;bank&#8217; business and into the realm of global profitability and industry niche power. <p>Going public can make or break a company. As long as you are prepared it can be the biggest blessing ever bestowed on your company. Understanding the process can help you decide if this is a direction you&#8217;d like to take. Here is the process:</p>
<p>First you&#8217;ll need corporate structuring to create a business model that is conducive to raising capital and increasing investor confidence so you&#8217;ll need to take a long hard look at your &#8216;C&#8217; level executives and their educational and professional pedigree and track record, your board of directors capabilities and abilities to contribute with capital connections and strategic alliances.</p>
<p>Second you&#8217;ll need to write a business plan that take into consideration a strong business model, financial projections that will stand up to the scrutiny of your SEC auditor and investors who have their investments audited by legal counsel and accountants while simultaneously painting a picture of a solid and viable, and yes, recession proof business model.</p>
<p>Third you will need a PPM to break your company up into shares to distribute to seed capital investors and stay within the SEC Regulation D requirements.</p>
<p>Fourth you&#8217;re ready to file your S1 and get into the comments stage. Be prepared to answer questions and be patient. The SE needs to understand your business enough to approve it. Some of their comments are pretty strange but it is what it is. Your best bet is to have a good securities attorney file for you.</p>
<p>Fifth you need your third party audit. This can be a large financial undertaking if your books are a mess and a good auditor can be in and out in around a month.</p>
<p>Sixth after the SEC approval you&#8217;ll have your market maker file your 15c211 with FINRA to get your approval and stock symbol.</p>
<p>Lastly, you&#8217;ll need a strong post public investor relations strategy to induce investment and calm down those who want to sell their stock. A good IR strategy will also bring into account massive amounts of traditional and viral publicity.</p>

Certainly there are scores of private placement memorandum and business plan chop shops that wouldn&#8217;t know how to properly consult with your company or write a fundable document even if they wanted to but they will gladly take your money to throw together a template and try to pass it off as custom work.</p>
<p>The issue is this, it&#8217;s not necessarily the consultant, though these fly-by-nights shoulder a large portion of the blame, but the client usually doesn&#8217;t even have the proper structure in place to attract a funding source even if they had the most incredible PPM and business ever to hit the venture capital marketplace. Here is a simple (very basic) way to evaluate your company to find out if you are properly structured to attract capital. Have a corporate meeting and ask yourselves the following questions: What type of corporate structure do you have and why did you choose that particular structure? Break down your executive infrastructure, where do your individual executives stand in your industry, do the unthinkable, Google everyone&#8217;s names; are the people running your company real industry players? Are all the basic positions accounted for (president, CFO, controller etc)? Next, look at your advisory board and board of directors. If by some miraculous act of God you actually have these two groups represented in your company, how did you qualify them? Sorry but if you have an attorney on your board because he&#8217;s, um&#8230;well, an attorney, that&#8217;s not good enough.</p>
<p>You need an industry specific legal guru who not only spells out the intricacies of your business genre&#8217;s regulation but they must also be actively qualifying potential strategic partnerships as alliances for your company. He should be reaching into his client base and actively picking companies that could enhance your company in distribution or in any other way that will have a profitable outcome for all involved. Each of the members must be serving a similar purpose.</p>
<p>Next, on what criteria are you basing your share price or loan amount? If you don&#8217;t have a clear cut &#8216;use of proceeds&#8217; model, you need one. This and many, many other questions need to be asked before you are actually ready to raise capital and in all reality, until your corporate structure is in place you shouldn&#8217;t even attempt to write a business plan or a private placement memorandum. If you are serious about setting up your company to attract investors you need a turnaround consultant, you can&#8217;t do this on your own. There is an entire industry that centers around structuring companies for their first and ongoing capital raise.</p>
<p>Before you blackball your company by prematurely attempting to raise capital, the critical concepts you need to keep in mind are (precisely in this order): corporate structure, infrastructure, advisory board, board of directors, use of proceeds, business plan, private placement memorandum, investor finder, funding. Look at each aspect listed here as its own item, break it down and analyze every minute aspect of each element and look at everything objectively and eventually your company will evolve into a structure that is fundable and stabilized for years to come.</p>
